I suppose the 'intense PG-13' rating may be in connection to the fighting. There's quite a lot of it in the Hobbit. Although I hope they won't make it more adult in general than LoTR. That would IMO be a bit silly too, to make the most fairy-talish of Tolkien's Middle-earth stories the most adult of the movies.
